(Three-Month Promotional Period)

These Terms and Conditions (“Terms”) govern the free temporary provision of Radio, Airtime and DISC / WRCI Membership by Nuneaton BID Ltd (“the BID”, “we”, “us”, “our”) to participating businesses (“Recipient”, “you”, “your”).
By accepting the free provision, you agree to these Terms.

2. Promotional Period
2.1 The Radio equipment, Airtime and DISC / WRCI Membership are provided free of charge for a period of three (3) calendar months (“Promotional Period”).
2.2 The Promotional Period will commence on the agreed start date confirmed in writing by Nuneaton BID Ltd.
2.3 At the end of the Promotional Period, access and/or services may cease unless a separate paid agreement is entered into.
3. Items and Services Covered
During the Promotional Period, Nuneaton BID Ltd will provide:
Radio handset(s) (where applicable)
Access to the Nuneaton town centre radio network
Airtime usage
DISC / WRCI Membership access (where applicable)
All items remain the property of Nuneaton BID Ltd unless otherwise agreed in writing.
4. Free of Charge Basis
4.1 The Radio, Airtime and DISC / WRCI Membership are supplied strictly on a temporary promotional basis.
4.2 No rental, subscription or usage fees are payable during the Promotional Period.
4.3 This promotion does not create any obligation on the Recipient to continue after the Promotional Period.
5. Care and Use of Equipment
5.1 Any Radio equipment supplied must:
Be used only for legitimate business purposes.
Not be altered, modified, or tampered with.
Be kept secure and protected from damage.
5.2 The Recipient is responsible for the safekeeping of any equipment while in their possession.
5.3 In the event of loss, theft, or damage (other than fair wear and tear), the Recipient may be liable for reasonable repair or replacement costs.
6. Acceptable Use
6.1 The radio network must not be used for:
Offensive, Disc / Recriminatory, or unlawful communications.
Personal non-business use.
Any activity that may damage the reputation of Nuneaton BID Ltd.
6.2 Nuneaton BID Ltd reserves the right to suspend access immediately in cases of misuse.
7. DISC / WRCI Membership
7.1 DISC / WRCI Membership is provided for informational and business support purposes.
7.2 Access credentials must not be shared outside the Recipient’s business.
7.3 Access may be withdrawn if misuse is identified.
8. Liability
8.1 The services and equipment are provided “as is” during the Promotional Period.
8.2 Nuneaton BID Ltd shall not be liable for:
Loss of profits, revenue or business interruption.
Indirect or consequential loss.
Network outages or technical interruptions beyond our reasonable control.
8.3 Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under UK law.
9. Insurance
The Recipient is responsible for ensuring their business insurance adequately covers any equipment while on their premises.
10. Termination
10.1 Either party may terminate the free arrangement at any time by giving 7 days’ written notice.
10.2 Nuneaton BID Ltd may terminate immediately in the event of:
Breach of these Terms
Misuse of equipment or services
Insolvency of the Recipient
11. End of Promotional Period
11.1 At the end of the Promotional Period, the Recipient must:
Return all radio equipment within 7 days; or
Enter into a new paid agreement (if agreed).
11.2 Failure to return equipment may result in recovery action and reasonable replacement costs.
12. Data Protection
Both parties agree to comply with the UK GDPR and Data Protection Act 2018 in relation to any personal data processed during the Promotional Period.
13. No Partnership
Nothing in these Terms creates a partnership, joint venture, or agency relationship between the parties.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales.
15. Acceptance
By accepting the free Radio, Airtime and DISC / WRCI Membership, the Recipient confirms that they:
Have read and understood these Terms
Agree to comply with them
Accept responsibility for any equipment provided

4. Free of Charge Basis

5. Care and Use of Equipment

FREE ONE-OFF RADIO SUPPLY
TERMS AND CONDITIONS

1. DEFINITIONS
1.1 “BID” means Nuneaton BID Ltd. 1.2 “Recipient” means the business or individual receiving the radio equipment. 1.3 “Equipment” means the radio handset, charger, battery, and any associated accessories supplied by the BID. 1.4 “Free One-Off Supply” means the provision of one radio handset at no charge, subject to these Terms and Conditions.
2. SUPPLY OF EQUIPMENT
2.1 Nuneaton BID Ltd agrees to supply one (1) radio handset per eligible business free of charge as a one-off initiative.
2.2 The Equipment remains the property of the eligible business.
2.3 The BID reserves the right to refuse supply at its discretion.
3. ELIGIBILITY
3.1 The free radio supply is available only to businesses located within the Nuneaton BID boundary and levy-paying members unless otherwise agreed in writing.
3.2 The offer applies to one radio per business premises.
3.3 This is a one-time offer and cannot be transferred, exchanged, or redeemed for cash.
4. RESPONSIBILITIES OF THE RECIPIENT
4.1 The Recipient agrees to:
· Use the Equipment solely for lawful business and town-centre safety communication purposes.
· Keep the Equipment secure and in good working condition.
· Not tamper with, modify, or attempt to repair the Equipment.
· Ensure staff using the radio follow agreed radio protocol.
4.2 The Recipient shall be responsible for any loss, theft, or damage (excluding fair wear and tear).
4.3 The Recipient must immediately notify the BID of any faults, damage, or loss.
5. LOSS OR DAMAGE
5.1 In the event of loss, theft, or damage due to negligence, the BID will not replace the radio and reserves the right to charge the Recipient the reasonable replacement cost of the Equipment.
5.2 If the Equipment is reported stolen, a crime reference number must be provided.
6. MAINTENANCE AND SUPPORT
6.1 Basic operational guidance will be provided at the point of issue.
6.2 The BID is not responsible for:
· Network outages
· Signal interference
· Misuse of the Equipment
· Damage caused by improper handling
7. RETURN OF EQUIPMENT
7.1 The Equipment is the property of the eligible business and does not need to be returned to Nuneaton BID Ltd:
8. LIABILITY
8.1 The BID shall not be liable for any indirect, consequential, or business losses arising from use of the Equipment.
8.2 The Recipient uses the Equipment at its own risk.
9. TERMINATION
9.1 The BID reserves the right to withdraw the Equipment at any time if:
· These Terms are breached
· The radio system is misused
· The business is no longer eligible
10. DATA PROTECTION
10.1 Any personal data collected will be processed in accordance with UK GDPR and relevant data protection legislation.
11. GENERAL
11.1 These Terms are governed by the laws of England and Wales.
11.2 The BID may amend these Terms at any time by providing written notice.
12. ACCEPTANCE
By signing below, the Recipient agrees to be bound by these Terms and Conditions.

Sale of Radio Units

These Terms and Conditions apply to the sale and supply of radio communication units (“Radio Units”) by Nuneaton BID Ltd (“the Company”, “we”, “us”, “our”) to any purchaser (“the Customer”, “you”, “your”).
By purchasing a Radio Unit from Nuneaton BID Ltd, you agree to be bound by these Terms and Conditions.

2. Definitions
Radio Unit means any two-way radio handset, charger, battery, antenna, or associated accessory supplied by Nuneaton BID Ltd.
Agreement means the contract formed between Nuneaton BID Ltd and the Customer upon acceptance of an order.
Price means the agreed purchase price for the Radio Unit.
3. Orders and Acceptance
3.1 All orders are subject to availability.
3.2 An order is deemed accepted when:
Full payment has been received; and
The Radio Unit has been issued or dispatched to the Customer.
3.3 We reserve the right to refuse or cancel any order at our discretion.
4. Pricing and Payment
4.1 All prices are stated in GBP (£).
4.2 VAT will be charged where applicable.
4.3 Payment must be made in full prior to collection or delivery unless otherwise agreed in writing.
4.4 We reserve the right to amend prices at any time prior to order confirmation.
5. Delivery and Collection
5.1 Radio Units may be collected from Nuneaton BID Ltd offices or delivered where agreed.
5.2 Risk in the Radio Unit passes to the Customer upon collection or delivery.
5.3 We are not liable for delays outside our reasonable control.
6. Ownership
6.1 Ownership of the Radio Unit passes to the Customer only once full payment has been received.
6.2 Until ownership passes, we reserve the right to recover the Radio Unit if payment is not made in accordance with these Terms.
7. Use of Radio Units
7.1 The Customer agrees to:
Use the Radio Unit only for lawful purposes;
Comply with all applicable telecommunications regulations;
Not modify, tamper with, or alter the Radio Unit without prior written consent.
7.2 The Customer is responsible for ensuring appropriate licensing where required.
7.3 Nuneaton BID Ltd accepts no liability for misuse of the Radio Unit.
8. Warranty and Faults
8.1 Radio Units are supplied with any manufacturer’s warranty where applicable.
8.2 The Customer must notify us of any faults within 14 days of receipt.
8.3 The warranty does not cover:
Accidental damage;
Misuse or negligence;
Normal wear and tear;
Unauthorised repair or modification.
8.4 Our liability is limited to repair, replacement, or refund at our discretion.
9. Returns and Refunds
9.1 Returns are accepted only with prior written approval.
9.2 Radio Units must be returned in their original condition and packaging.
9.3 Refunds (if approved) will be processed within 14 days of receipt of returned goods.
10. Limitation of Liability
10.1 Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or any liability that cannot legally be excluded.
10.2 Subject to clause 10.1, Nuneaton BID Ltd shall not be liable for:
Indirect or consequential loss;
Loss of profits;
Business interruption;
Loss of data.
10.3 Our total liability shall not exceed the purchase price paid for the Radio Unit.
11. Data Protection
11.1 Any personal data provided will be processed in accordance with UK data protection legislation.
11.2 Data will be used only for order processing, administration, and communication relating to the Radio Unit sale.
12. Force Majeure
We shall not be liable for failure or delay in performance caused by events beyond our reasonable control.
13. Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales.
Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
14. Amendments
Nuneaton BID Ltd reserves the right to amend these Terms and Conditions at any time. The applicable version will be the one in force at the time of purchase.

BID CONNECT RADIO SYSTEM
ANNUAL USER AGREEMENT
This Agreement is made on the date of acceptance by the User.
Between:
Bid Connect Radio ("Provider")
And
The Registered User ("User")
1. Definitions
“System” means the Bid Connect Radio communication system, including radios, repeaters, software, dispatch platform, and any associated services.
“Service Period” means a 12-month period commencing on the date of registration or renewal.
“Fee” means the annual subscription cost of £180 (one hundred and eighty pounds sterling).
“Data Protection Legislation” means all applicable UK data protection laws including but not limited to the UK GDPR, the Data Protection Act 2018, and any successor legislation.
2. Services Provided
2.1 The Provider grants the User access to the Bid Connect Radio System for the duration of the Service Period.
2.2 Access includes:
Use of allocated radio channels
Access to the dispatch/monitoring service (if applicable)
Network support during operational hours
Basic technical support
2.3 The Provider reserves the right to suspend access for maintenance, upgrades, misuse, or non-payment.
3. Fees and Payment
3.1 The User agrees to pay the annual Fee of £180 per year.
3.2 Payment is due in full prior to activation or renewal of service.
3.3 Fees are non-refundable except where required by law.
3.4 The Provider reserves the right to amend the Fee upon renewal by giving at least 30 days’ written notice.
4. User Obligations
4.1 The User agrees to:
Use the System lawfully and professionally.
Not transmit abusive, defamatory, discriminatory, or unlawful content.
Not interfere with or attempt to access unauthorised parts of the network.
Maintain equipment in good condition.
Immediately report lost or stolen radios.
4.2 The User is responsible for all communications transmitted using their allocated device(s).
5. Equipment (if applicable)
5.1 Where radios are supplied by the Provider, they remain the property of the Provider unless otherwise agreed in writing.
5.2 The User is liable for loss, theft, or damage beyond fair wear and tear.
6. Data Protection and GDPR Compliance
6.1 Both parties agree to comply with all applicable Data Protection Legislation.
6.2 Roles of the Parties
The Provider acts as a Data Controller for account management, billing, and system administration data.
Where applicable, the Provider may act as a Data Processor for communication logs or monitoring data processed on behalf of the User.
6.3 Personal Data Collected
The Provider may collect and process:
Name
Business name
Contact details
Device identifiers
Communication logs (time, date, channel usage where applicable)
6.4 Lawful Basis for Processing
Data is processed under:
Contractual necessity (Article 6(1)(b) UK GDPR)
Legitimate interests (Article 6(1)(f) UK GDPR)
Legal obligation where applicable
6.5 Data Security
The Provider shall:
Implement appropriate technical and organisational security measures.
Restrict access to authorised personnel only.
Use encrypted or secure systems where reasonably practicable.
Maintain confidentiality of communications in accordance with legal requirements.
6.6 Data Retention
Personal data shall only be retained:
For the duration of the Service Period; and
For any additional period required by law or legitimate business purposes (e.g., accounting requirements).
6.7 Data Subject Rights
Users have the right to:
Access their personal data
Request rectification
Request erasure (where applicable)
Restrict or object to processing
Lodge a complaint with the Information Commissioner’s Office (ICO)
Requests must be made in writing to the Provider.
6.8 Data Breach Procedures
In the event of a personal data breach, the Provider shall:
Assess the risk promptly.
Notify the ICO where legally required.
Notify affected Users without undue delay where high risk is identified.
